Terms of use

These terms of use ("terms") are a legal agreement between you and California National Trading Inc., a California corporation based in Menlo Park, California ("California National Trading", "we", "us" or "our"). They cover your use of Speak Calendar, including the web app at app.speakcalendar.com, this website, any mobile app, and any related features, content and services (together, "Speak Calendar"). Please read them carefully.

Please note these key points:

1. Agreeing to these terms

By opening, using, signing in to or subscribing to Speak Calendar, you agree to these terms and to our privacy policy and cookies and storage notice, which are part of these terms. The Pro page, including its monthly limits, is also part of these terms if you use Pro. If you don't agree, don't use Speak Calendar.

If you use Speak Calendar on behalf of a business or other organization, you confirm that you have authority to accept these terms for it, and "you" includes that organization.

You agree that we may give you agreements, notices and other communications electronically, by email, in the app or on this website, and that these satisfy any legal requirement that they be in writing.

2. Who can use Speak Calendar

Some features, including Pro, require you to sign in with your Google account. You agree to give accurate information, to use only your own account, and not to share it. You are responsible for everything done through your account and your devices.

Device sync uses a link code. Anyone who has your link code can see and change the items you sync. Keep it private, and unlink and relink your devices in Settings if you think someone else has it. Tell us right away at support@speakcalendar.com if you believe your account or link code has been used without your permission. We are not responsible for losses caused by someone else using your account, devices or link code, unless the law says otherwise.

4. Your content

"Your content" means the events, tasks, lists, notes, contacts, photos, voice recordings, questions, tracker entries and anything else you add to or send through Speak Calendar. Your content belongs to you.

You give us a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit, translate and display your content, and to send it to the service providers described in our privacy policy, only as needed to run, secure and improve the features you use, to follow the law, and to enforce these terms. This license ends when your content is deleted from our systems, except for copies we must keep by law or that remain for a short time in backups.

You confirm that you have all the rights and permissions needed to add your content and to let us use it this way, including the permission of any person whose name, photo, voice, contact details or other personal information is in it. Don't add other people's sensitive information (such as health, financial or government ID details) unless you are allowed to. We don't review your content and are not responsible for it, but we may remove or block content, or limit a feature, if we believe it breaks these terms or the law, or may harm anyone.

6. Our license to you

As long as you follow these terms, we give you a personal, limited, non-exclusive, non-transferable, revocable license to use Speak Calendar for your own personal, non-commercial purposes. Some parts of Speak Calendar include open-source software, which is covered by its own license; nothing in these terms limits your rights under those licenses.

7. Our property and feedback

Speak Calendar, including its software, design, text, graphics, logos, the name "Speak Calendar" and all related intellectual property, belongs to California National Trading Inc. or its licensors and is protected by law. Except for the license in section 6, we don't give you any rights in it. Other companies' names and trademarks belong to them, and their mention doesn't mean they endorse or are affiliated with Speak Calendar.

If you send us ideas, suggestions or feedback, you agree that we may use them for any purpose without paying you or giving you credit, and that we have no obligation to keep them confidential.

8. AI features

Speak Calendar includes features that use artificial intelligence, including the Ask Claude assistant, reading photos and web pages, turning speech into text, translation, and reading answers aloud in a computer-generated voice (together, "AI features"). These features are provided by other companies, as listed in our privacy policy. By using them you understand and agree that:

Speak Calendar includes features such as the habit and routine tracker, the drinks tracker, and sleep data from Withings. These are for your personal information and organization only.

11. Other companies' services and content

Speak Calendar can connect to or show services and content from other companies, such as Google, Withings, Amazon, Instacart, YouTube, Microsoft, news and video feeds, weather and map providers, AI providers and our payment processor, Stripe. These are not under our control. Your use of them is governed by their own terms and privacy policies, which you are responsible for reading and following. We are not responsible for their services, content, availability, accuracy or practices, and a link or connection doesn't mean we endorse them. Features that depend on them may change or stop working at any time if they change what they offer. Content from other sources belongs to its owners.

12. Speak Calendar Pro

Automatic renewal. Speak Calendar Pro is a subscription. When you subscribe, you authorize us (through our payment processor, Stripe) to charge your payment method the price shown at checkout, plus any applicable tax, at the start of your subscription and again at the start of each renewal period (each month for a monthly plan, or each year for a yearly plan), until you cancel. The price, billing period and how to cancel are shown before you pay.

How to cancel. You can cancel online at any time, in Speak Calendar under Settings, then Speak Calendar Pro, then Change or cancel (or the account menu), or by emailing support@speakcalendar.com. To avoid being charged for the next period, cancel before it begins. When you cancel, you won't be charged again, and you keep Pro until the end of the period you've already paid for.

Refunds. Except where the law requires otherwise, payments are not refundable, and we don't give refunds or credits for partial periods, unused time, or unused monthly amounts. We may choose to give a refund in a particular case, but that doesn't oblige us to do so in other cases.

Reminders and price changes. We will send any renewal reminders the law requires, including before a yearly plan renews. We may change Pro's price or what it includes. If we raise your price, we will tell you in advance, as required by law, and the new price will apply only from your next renewal after the notice. If you don't want to pay the new price, cancel before it takes effect.

Payment. Payments are handled by Stripe under its own terms; we don't receive or store your full card number. You agree to keep your payment details current. If a payment fails, we may try again, and we may pause or end Pro until payment is made. If you dispute a valid charge with your bank, we may suspend Pro while the dispute is resolved. You are responsible for any taxes, and for any fees your bank or card issuer charges.

Monthly limits. Pro includes the monthly amounts of each AI feature shown on the Pro page. Unused amounts don't carry over. We may change these amounts, but we will tell you before a reduction takes effect for a period you have already paid for, and you may cancel if you don't accept it.

Free trials and offers. If we offer a free trial, discount or promotion, its terms will be shown when you sign up. Unless you cancel before a free trial ends, it will turn into a paid subscription and you will be charged, as shown at sign-up.

App stores. If you subscribe through an app store, such as Apple's App Store, that store handles your payment, renewals, cancellations and refunds under its own rules, and you must cancel through it.

13. Free plan, limits and new features

We may offer some features for free and decide which features need Pro. Free features, free amounts and limits may change, be reduced or end. We may set usage limits on any feature, including daily limits that apply to everyone, to protect the service and control costs. Some features may be labeled as test, beta or coming soon; these may be less reliable, may change or end without notice, and are provided as is.

14. Changes, suspension and ending

We are improving Speak Calendar all the time, so features may change, be added or be removed, and we may stop offering Speak Calendar altogether. If we stop offering Pro, we will refund the unused part of any prepaid period.

We may suspend or end your access to all or part of Speak Calendar, with or without notice, if we believe you have broken these terms or the law, if your use could cause harm or legal risk to us, other users or others, or if we are required to by law. You may stop using Speak Calendar at any time.

Sections that by their nature should continue after these terms end will continue, including sections 4, 7, 8, 9, 10 and 15 to 26.

15. Your data and backups

Speak Calendar stores your information mainly in your own browser on your own device. Clearing your browser's data, using private browsing, changing browsers or devices, uninstalling, browser or system updates, or losing or damaging a device can permanently erase it. Sync is not a backup: a deletion or mistake on one device can spread to your other devices. You are responsible for keeping your own backups, for example with Settings, then Backup, or Download backup. To the fullest extent the law allows, we are not responsible for lost, changed or corrupted information.

We respect intellectual property rights. If you believe something available through Speak Calendar infringes your copyright, email support@speakcalendar.com with: your name and contact details; a description of the copyrighted work; where the material is; a statement that you have a good-faith belief the use isn't authorized by the owner, its agent or the law; a statement, under penalty of perjury, that your notice is accurate and that you are the owner or authorized to act for the owner; and your physical or electronic signature. We may remove material, and we may end the accounts of people who repeatedly infringe.

17. Disclaimers

Speak Calendar is provided "as is" and "as available," with all faults, and you use it at your own risk. To the fullest extent the law allows, California National Trading Inc. and its officers, directors, employees, agents, licensors and service providers disclaim all warranties and conditions, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, quiet enjoyment, and any arising from course of dealing or usage of trade. We don't promise that Speak Calendar, or any content, output, reminder, alert or information in it, will be accurate, complete, reliable, timely, secure, uninterrupted, free of errors or harmful components, or that it will meet your needs, or that data won't be lost. No advice or information from us creates any warranty not stated in these terms.

18. Limitation of liability

To the fullest extent the law allows:

These limits apply even if a remedy fails of its essential purpose, and they are an essential part of the bargain between you and us; without them, we would not offer Speak Calendar, and certainly not at its current price.

19. Indemnity

To the extent the law allows, you agree to defend, indemnify and hold harmless California National Trading Inc. and its officers, directors, employees and agents from any claims, losses, damages, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of or relating to your content, your use or misuse of Speak Calendar, your breach of these terms, or your violation of any law or anyone else's rights. We may take over the defense of any such claim at your expense, and you agree to cooperate with us. You may not settle such a claim without our written consent.

20. Exceptions required by law

Some places don't allow certain warranties to be excluded, or certain damages or liability to be limited, so some of sections 15, 17, 18 and 19 may not apply to you. In that case, those sections apply only to the fullest extent the law allows. Nothing in these terms limits liability for fraud, gross negligence, willful misconduct, death or personal injury caused by our negligence, or anything else that can't be limited by law, or takes away any right you have as a consumer that can't be waived by contract.

21. Disputes: arbitration and class-action waiver

Please read this section carefully. It affects how disputes are resolved and limits your right to go to court, to a jury trial, and to take part in a class action.

Talk to us first. Before starting any claim, you agree to email support@speakcalendar.com with your name, your account email, a description of the problem and what you are asking for, and to give us 60 days to try to resolve it informally. We will do the same, using the email address we have for you, before bringing a claim against you. Any time limit for bringing a claim is paused during this 60-day period.

Binding individual arbitration. If we can't resolve it, you and California National Trading Inc. agree that any dispute, claim or controversy arising out of or relating to Speak Calendar, these terms, or their formation, interpretation, enforceability or breach (including whether something must be arbitrated) will be resolved by binding arbitration on an individual basis, not in court. The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect, before a single arbitrator. If the AAA is unavailable, the parties will agree on another provider, or a court will appoint one. The arbitration may be held by video, by phone, on written submissions, or in person in the county where you live. The arbitrator may award the same individual relief a court could, but only to you individually and only as needed for your individual claim. Payment of filing, administration and arbitrator fees will follow the AAA's rules. The arbitrator's decision is final and may be entered as a judgment in any court with jurisdiction. The Federal Arbitration Act governs this section.

Exceptions. Either of us may bring an individual claim in small claims court if it qualifies and stays there. Either of us may ask a court for an injunction to stop actual or threatened infringement or misuse of intellectual property, or unauthorized access to Speak Calendar.

No class actions or jury trials. You and California National Trading Inc. may bring claims only on an individual basis, and not as a plaintiff or class member in any class, collective, consolidated or representative proceeding. The arbitrator may not combine more than one person's claims or preside over any form of class or representative proceeding. To the extent the law allows, you and we both waive any right to a jury trial. If this class-action waiver is found unenforceable for a particular claim or request for relief, that claim or request (and only that one) will be separated and decided in court, after the arbitration of all other claims is finished.

Mass filings. If 25 or more similar arbitration demands are filed against us by or with the help of the same law firm or organization within 90 days, the AAA's mass arbitration rules and fee schedule will apply, and the demands may be handled in batches, to keep the process fair and efficient for everyone. Any time limit for bringing a claim is paused while a demand is waiting to be handled.

Opting out. You may opt out of this arbitration agreement within 30 days of first accepting these terms by emailing support@speakcalendar.com with your name, your account email (if any), and a clear statement that you opt out of arbitration. Opting out does not affect any other part of these terms. If we change this section in a significant way, you may reject the change by emailing us within 30 days of it taking effect, and the earlier version will continue to apply to you.

Governing law and courts. These terms, and any dispute between you and us, are governed by the laws of the State of California and applicable US federal law, without regard to conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods doesn't apply. Any claim not subject to arbitration will be brought only in the state or federal courts located in San Mateo County, California, and you and we consent to their personal jurisdiction and venue there.

Time limit. To the extent the law allows, any claim must be brought within one year after it arises, or it is permanently barred.

22. Export and sanctions

You agree to follow all US and other export control and sanctions laws that apply to your use of Speak Calendar. You confirm that you are not located in a country or region subject to comprehensive US sanctions, and that you are not on any US government list of restricted or prohibited parties.

23. Apple App Store

If you get Speak Calendar from Apple's App Store, these terms are between you and us, not Apple, and we, not Apple, are responsible for the app and its content. Apple has no obligation to provide maintenance or support. If the app fails to meet any warranty that applies, you may notify Apple, and Apple will refund the purchase price (if any); to the fullest extent the law allows, Apple has no other warranty obligation. Apple is not responsible for any claims relating to the app, including product liability claims, claims that it fails to meet legal or regulatory requirements, consumer protection or privacy claims, or intellectual property claims. You must also follow Apple's usage rules and any third-party terms that apply when using the app. Apple and its subsidiaries are third-party beneficiaries of these terms and may enforce them against you.

24. Changes to these terms

We may update these terms from time to time. We will change the date at the top, and if a change is significant, we will tell you in the app, by email or on this website before it takes effect. Changes won't apply to disputes that arose before they take effect. By continuing to use Speak Calendar after a change takes effect, you agree to the updated terms. If you don't agree, stop using Speak Calendar and cancel any subscription.

Under California Civil Code section 1789.3, California users are entitled to the following notice. Speak Calendar is provided by California National Trading Inc., Menlo Park, California. Free features are free; Pro is priced as shown on the Pro page and at checkout. To resolve a complaint about Speak Calendar or to get more information, email support@speakcalendar.com. You may also contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834, or by phone at (800) 952-5210.
